Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Amfion’s platform, website, and services (collectively, the “Service”) operated by Amfion LLC (“Amfion,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. Service Description

Amfion provides an AI-powered booking platform for service businesses. Our platform includes:

  • An AI conversational assistant that helps end customers book appointments, ask questions, and manage their bookings through natural language
  • A workspace for businesses (“Tenants”) to configure their booking assistant, manage services, and view customer interactions
  • Integration with third-party scheduling systems to manage calendar availability and bookings
  • A customer-facing appointment management portal

2. Accounts and Registration

2a. Tenant Accounts

To use the Service as a Tenant, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activity that occurs under your account, including actions taken by anyone you grant access to.

2b. End Customer Use

End Customers do not need to create an Amfion account. By using an AI booking assistant powered by Amfion, End Customers agree to these Terms. End Customer access to appointment management is provided through secure, time-limited tokens.

3. AI-Powered Services

Important: Our AI assistant is a helpful tool, not a substitute for human judgment.

  • AI-generated responses: The booking assistant uses artificial intelligence (powered by Anthropic’s Claude) to generate conversational responses. These responses are provided for convenience and scheduling assistance only.
  • No professional advice: AI responses do not constitute professional, medical, legal, financial, or other specialized advice. You should not rely solely on AI-generated responses for decisions that could have significant consequences.
  • Accuracy: While we strive for accuracy, AI responses may occasionally contain errors or outdated information. Business details such as pricing, availability, and policies may change. Booking confirmations (sent via email or calendar invitation) are the authoritative record of your appointment — not the chat conversation.
  • AI disclosure: You are interacting with an AI system, not a human. The AI assistant is designed to be helpful and informative, but it has limitations.
  • No training on your data: Conversation data processed by our AI provider (Anthropic) is not used to train AI models.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Submit false, misleading, or fraudulent information
  • Attempt to manipulate the AI assistant to produce harmful, offensive, or misleading content
  • Interfere with or disrupt the Service, its servers, or connected networks
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated scripts, bots, or scrapers to access the Service (except through our provided APIs and embed features)
  • Transmit viruses, malware, or other harmful code
  • Use the Service to send spam, phishing, or unsolicited communications
  • Impersonate another person or entity

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Tenant Responsibilities

As a Tenant, you are responsible for:

  • Accuracy of business information: Ensuring that service descriptions, pricing, business hours, FAQs, and policies configured in your workspace are accurate and up to date. The AI assistant relies on this information to serve your customers.
  • Compliance with applicable laws: Ensuring your use of the Service complies with all laws applicable to your business, including consumer protection, anti-spam, and data protection laws.
  • Customer data: As the Data Controller for your End Customers’ personal data, you are responsible for having a lawful basis to collect and process their data through the Service, and for responding to data subject requests. See our Privacy Policy for details.
  • Integration credentials: Maintaining the security and validity of any third-party API keys or credentials you configure in your workspace.

6. Subscriptions and Payment

6a. Free Trial

New Tenant accounts receive a 14-day free trial. During the trial, you have access to all platform features. We will notify you before your trial expires.

6b. Paid Plans

After your trial, continued access requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are non-refundable except where required by law.

6c. Changes to Pricing

We may change our pricing with at least 30 days’ advance notice. Price changes take effect at the start of your next billing cycle.

7. Intellectual Property

  • Our property: The Service, including its design, code, AI models, branding, and documentation, is owned by Amfion and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
  • Your content: You retain ownership of all content you upload or configure in the Service (business information, logos, images, FAQs, etc.). By uploading content, you grant us a license to use it solely to provide and improve the Service.
  • Feedback: If you provide suggestions or feedback about the Service, we may use it without obligation to you.

8. Data Processing

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

For Tenants who require a Data Processing Agreement (DPA) for GDPR or other regulatory compliance, please contact us at admin@amfionhq.com.

Our current sub-processors for End Customer data include:

  • Anthropic — AI response generation (United States)
  • Cal.com — Calendar scheduling and booking management
  • Supabase — Database hosting and authentication
  • Cloudflare — Security, DNS, and bot protection

We will provide at least 30 days’ notice before adding new sub-processors that handle End Customer personal data.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled downtime.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that AI-generated responses will be accurate, complete, or error-free, or that the Service will meet your specific requirements.
  • In no event shall Amfion’s total liability to you exceed the greater of (a) the amount you paid to Amfion in the 12 months preceding the claim, or (b) $100 USD.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of the cause of action.
  • We are not liable for any actions taken by the AI assistant, including but not limited to incorrect scheduling, missed appointments, or inaccurate information provided during conversations.

11. Indemnification

You agree to indemnify and hold harmless Amfion, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney’s fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or information you provide through the Service

12. Termination

  • By you: You may cancel your account at any time. Upon cancellation, your access to the Service will continue until the end of your current billing period.
  • By us: We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service or other users. We will provide notice when feasible.
  • Effect of termination: Upon termination, your right to use the Service ceases. We will retain your data for 30 days to allow for export, after which it will be deleted unless retention is required by law.

13. Dispute Resolution

We prefer to resolve disputes informally. If you have a concern, please contact us at admin@amfionhq.com and we will work to resolve it promptly.

If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in the State of Florida. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Class action waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify Tenants by email at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Amfion.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
